Guidelines for Research Agreements with
Universities
The Society of Research Administrators, representing universities across
the country, have developed guidelines for external agreements. The
document they refer to is called Guide to University - Industry
Research Agreements. A copy is available for reference purposes in the
Center.
By thinking along the lines of these guidelines you can be sure that
consortium agreements among the Center, an industry, and a university
would be likely to be accepted. Additionally, specific clauses in this
Guide can be adapted for use in other agreements the Center may
make directly with industry. These elements are covered in the Guide:
- Recitals (these serve as an introduction to the binding terms)
- Description of research and reporting (the progress of work)
- Period of agreement (term and termination)
- Financial (amounts, reporting, and limitations)
- Equipment (ownership and use)
- Use of names (name not to be used for promotion)
- Publication (freedom to publish results of research)
- Patents and licensing (where rights are vested)
- Liabilities (indemnification and limits of liability)
- Third parties (conflict of interest and related research)
