ARTICLES OF INCORPORATION

DANIEL DEYOUNG and DOUGLAS DUPEN certify that:

1. They are the President and Secretary, respectively of STANFORD CAMPUS RESIDENTIAL LEASEHOLDERS, INC., a California Corporation.

2. Articles TWO, FOUR and FIVE of the Articles of Incorporation of this corporation are amended to read as follows:

TWO

This Corporation is a nonprofit public benefit corporation and is not organized for the private gain of any person. It is organized under the Nonprofit Public Benefit Corporation Law for public purposes.

FOUR

This Corporation is organized and operated exclusively to promote the common good and general welfare of the people of the community within the meaning of Section 501(c)(4) of the Internal Revenue Code.

FIVE

The property of this Corporation is irrevocably dedicated to promoting the common good and general welfare of the people of the community, and no part of the net income or assets of this Corporation shall ever inure to the benefit of any director, officer, or members thereof or to the benefit of any private person. Upon the dissolution or winding up of the Corporation, its assets remaining after payment, or provision for payment of all debts and liabilities of this Corporation shall be distributed to a non-profit fund, foundation, or corporation which is organized and operated exclusively for promotion of the common good and general welfare of the people of the community and which has established its tax-exempt status under Section 501(c) (4) of the Internal Revenue Code.

3. The foregoing Amendment of Articles of Incorporation has been duly approved by the Board of Directors.

4. The foregoing Amendment of Articles of Incorporation has been duly approved by the required unanimous vote of members.

We further declare under penalty of perjury under the laws of the State of California that the matters set forth in this certificate are true and correct of our own knowledge.

ARTICLES OF INCORPORATION

OF

STANFORD CAMPUS RESIDENTIAL LEASEHOLDERS, INC.

ONE: The name of this corporation is STANFORD CAMPUS RESIDENTIAL LEASEHOLDERS, INC., hereinafter referred to as the "Corporation".

TWO: This Corporation is a nonprofit mutual benefit corporation organized under the Nonprofit Mutual Benefit Corporation Law. The purpose of this Corporation is to engage in any lawful act or activity for which a corporation may be organized under such law.

Such purposes for which this Corporation is formed are to represent the interests of and act for those faculty and staff occupying residential facilities on land leased to them by Leland Stanford Junior University on the University campus in matters affecting their interests, including their relations among themselves and with the University, other campus users and public and private agencies. Notwithstanding any other provision of these Articles, this Corporation shall not engage in any activities or exercise any powers that are not in furtherance of the purposes of this Corporation.

THREE: The name and address in California of the corporation's initial agent for service of process is WELDON B. GIBSON, 593 Gerona Road, Stanford, California, 94305.

FOUR: No part of the net earnings of the Corporation shall inure to the benefit of any member or private shareholder, as defined for purposes of §501(c)(7) of the Internal Revenue Code of 1954, as amended.

FIVE: The name of the existing unincorporated association now being incorporated by the filing of these Articles is STANFORD CAMPUS HOMEOWNERS ASSOCIATION.
